EB-5 Services: Projects

Your EB-5 Project, Structured for Success

Whether you’re launching your first EB-5 raise or navigating complex scenarios on a time-tested model, CLP helps EB-5 project sponsors build and maintain compliant, winning platforms.

What We Do For EB-5 Project Sponsors

At CLP, we support every stage of project readiness under the EB-5 Reform and Integrity Act (RIA)—from the designation of a regional center (Form I-956) to the approval of an investment in a commercial enterprise (Form I-956F). These filings form the legal and operational backbone of the EB-5 offering. We help ensure they’re built on solid ground.

Form I-956: Regional Center Designation

We provide full-scope legal services for preparing and filing Form I-956, the Application for Regional Center Designation under the RIA. Our services include:

  • Defining the geographic area
  • Reviewing substantive economic impact analysis and methodology against RIA standards
  • Review of policies and procedures
  • Form I-956H bona fide attestations of principals involved with the regional center
  • Audit preparation and advising under separate compliance advising

Although the deadline for pre-RIA regional centers to file I-956 amendments has not yet been posted, all regional centers seeking to continue operating and raising capital post-RIA passage as of March 15, 2022 must file the Form I-956.

Form I-956F: Project Approval Filing

The Form I-956F filing is a critical milestone: investors cannot file their petitions until it’s received by USCIS. CLP builds filings that are both detailed and resilient. CLP provides full-scope legal services for preparing and filing Form I-956F, the Application for Approval of an Investment in a Commercial Enterprise. We work closely with your team to:

  • Ensure your offering is compliant with EB-5 law, regulations, and prevailing USCIS interpretations
  • Coordinate offering documentation, business plan, job creation methodology, and other supporting materials
  • Navigate eligibility for visa set-aside categories (rural, high-unemployment, infrastructure)
  • Address advanced structuring issues, such as bridge financing or capital stack composition

We apply rigorous scrutiny to every element of the project—knowing that Form I-956F approval is foundational to investor eligibility. Our guidance is informed not only by legal requirements but by ongoing engagement with EB-5 adjudication trends, precedent decisions, and evolving standards under the RIA. We help EB-5 projects:

  • Align with Matter of Ho business plan criteria and evidentiary standards
  • Anticipate and address Matter of Izummi compliance concerns, especially around investment flow of funds, deployment, and redeployment
  • Design capital deployment strategies with an eye toward evolving redeployment and investment sustainment policies
  • Structure project timelines and documentation to support job creation requirements

We aim not only to get your project approved—but to ensure it performs predictably through the full investor immigration timeline.

Our services working with the full complement of advisors needed in this endeavor, including securities counsel, business plan writers, economists, regional centers, and transactional counsel. Our work involves thorough Business Plan review and refinement; review of economic impact analysis for job creation; securities compliance documentation review including offering and investment material; and review of required RIA disclosures and compliance certifications.

We work as either the quarterback to the I-956F advisory team or as an essential member of a team led by other colleagues and partners.

Trusted Legal Partner Across the EB-5 Project Lifecycle

Our work doesn’t stop after the I-956F is filed. CLP continues to serve as trusted legal counsel through:

  • Investor onboarding support post I-956F filing
  • Investor consultation on behalf of the project upon request
  • Responses to RFEs or NOIDs on project issues
  • I-829 compliance planning and job creation documentation

Form I-956G Compliance Services:
Annual Certification, Done Right

Regional Center Annual Certification 360°

The compliance landscape under the EB-5 Reform and Integrity Act (RIA) has changed—decisively. The new Form I-956G, which replaces the legacy Form I-924A, is now the cornerstone of regional center accountability. It requires not only robust reporting of annual activities, but also transparent attestation of compliance across immigration law, securities regulation, and integrity safeguards.

At CLP, we don’t just prepare I-956G filings—we help our clients design internal systems that support repeatable, credible, and defensible compliance year after year.

We advise on:

  • Scope and accuracy of annual activity disclosures
Including number of investors, status of capital raises, and project-level deployment status
  • New attestation and certification requirements
Covering securities compliance, criminal conduct, and program integrity controls
  • Documentation protocols
Ensuring records are available and audit-ready in case of USCIS follow-up or review
  • Best practices for coordination
Between regional center leadership, NCE managers, economists, and outside counsel
  • Remediation strategies
For historical gaps, inconsistencies, or inherited liabilities from legacy filings
